1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Saraswoti Media Pvt. Ltd. ("Company," "we," "us," or "our"), a company registered under the laws of Nepal with its principal place of business in Putalisadak, Kathmandu, Nepal.

By accessing our website, placing an order, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms apply to all users of our services, including browsers, vendors, customers, merchants, and contributors of content.

2. Services Offered

2.1 Products and Services

Saraswoti Media provides the following services:

  • Signage design, manufacturing, and installation
  • Indoor and outdoor advertising solutions
  • Digital marketing services
  • Branding and graphic design
  • Printing and promotional products
  • LED and illuminated signage
  • Vehicle wrapping and advertising
  • Showroom and retail design
  • Software development and digital solutions

2.2 Service Availability

  • Services primarily available throughout Nepal
  • International services available on case-by-case basis
  • We reserve the right to refuse service to anyone for any reason
  • Service offerings may change without prior notice

3. Orders and Quotations

3.1 Quotations

  • All quotations are valid for 15 days unless otherwise stated
  • Quotations are estimates and may change based on final specifications
  • Prices exclude VAT and other applicable taxes unless stated
  • Quotations do not constitute a binding contract until order is confirmed

3.2 Order Placement

  • Orders confirmed upon written acceptance (email, WhatsApp, or signed quote)
  • Advance payment required as per Payment Policy
  • Design approval required before production begins
  • We reserve the right to decline any order

3.3 Order Modifications

  • Changes to orders may be requested before production begins
  • Changes after production starts may incur additional charges
  • Significant changes may require new quotation
  • Timeline may be affected by order modifications

3.4 Order Cancellation

  • Cancellations accepted within 24 hours of order confirmation
  • Cancellation fees apply after production begins (see Payment Policy)
  • Custom orders cannot be cancelled once production starts

4. Pricing and Payment

4.1 Pricing

  • All prices quoted in Nepali Rupees (NPR)
  • Prices subject to change without notice
  • Confirmed orders with advance payment protected from price increases
  • Additional charges may apply for rush orders, special materials, or complex installations

4.2 Taxes

  • All prices subject to 13% VAT as per Nepal government regulations
  • Other applicable taxes as required by law
  • Tax invoices provided for all transactions

5. Intellectual Property

5.1 Our Intellectual Property

  • All website content, logos, designs, and materials are our property
  • Reproduction, distribution, or modification prohibited without permission
  • Our portfolio and case studies may not be used without authorization
  • Design concepts created for quotation remain our property until purchase

5.2 Client-Provided Content

  • Clients warrant they own or have rights to all content provided
  • Client responsible for securing necessary licenses for fonts, images, logos
  • We are not liable for copyright infringement in client-provided materials
  • Client indemnifies us against third-party intellectual property claims

5.3 Design Work

  • Original designs created by us become client property upon full payment
  • We may retain samples for portfolio and promotional purposes
  • Source files provided upon request and full payment
  • Design revisions beyond scope may incur additional charges

5.4 Portfolio Rights

Unless otherwise agreed in writing, we reserve the right to photograph completed work and include it in our portfolio, website, social media, and marketing materials. Client may request confidentiality for sensitive projects.

6. Delivery and Installation

6.1 Delivery

  • Delivery timelines are estimates and not guaranteed
  • Delays due to external factors do not constitute breach of contract
  • Client must inspect goods upon delivery and report damage within 24 hours
  • See Shipping Policy for complete delivery terms

6.2 Installation

  • Installation included where specified in quotation
  • Client responsible for obtaining necessary permits and permissions
  • Safe access to installation site must be provided
  • Electrical connections to be provided by client unless otherwise agreed
  • We are not responsible for structural issues at installation site

6.3 Site Conditions

Client warrants that:

  • Installation site is suitable and structurally sound
  • Necessary permissions obtained from property owners/management
  • Required electrical supply available and compliant with regulations
  • Access provided for installation vehicles and equipment

7. Warranties

7.1 Product Warranty

  • LED/Electrical Components: 2-3 years warranty against manufacturing defects
  • Structural Elements: 1-2 years warranty on frames and mounting
  • Print Quality: 6 months - 1 year depending on material and application
  • Warranty periods specified in quotation for each product

7.2 Warranty Exclusions

Warranty does not cover:

  • Damage from accidents, vandalism, or natural disasters
  • Normal wear and tear
  • Damage from improper use or maintenance
  • Unauthorized modifications or repairs
  • Electrical damage from power surges or improper wiring
  • Fading due to excessive UV exposure beyond product specifications

7.3 Warranty Claims

  • Claims must be submitted in writing with photos
  • Original invoice required for warranty claims
  • We will inspect and determine if claim is valid
  • Valid claims repaired or replaced at our discretion

7.4 Limitation of Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

8.1 Liability Cap

Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by you for the specific product or service giving rise to the claim.

8.2 Exclusion of Damages

We shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Lost profits, revenue, or business opportunities
  • Loss of data or goodwill
  • Damages arising from third-party actions
  • Damages from events beyond our reasonable control

8.3 Third-Party Claims

Client agrees to indemnify and hold us harmless from any third-party claims arising from client-provided content, client's use of our products, or client's violation of these Terms.

9. Client Responsibilities

9.1 Information Accuracy

  • Provide accurate and complete information for orders
  • Review and approve designs carefully before production
  • Notify us of any errors in proofs before approval
  • Provide correct delivery and installation addresses

9.2 Content Approval

  • Client responsible for accuracy of content in final product
  • Spelling, grammar, and factual errors are client's responsibility after approval
  • Color variations between screen and print are inherent to process
  • Approved designs cannot be changed without potential additional charges

9.3 Permits and Compliance

  • Client responsible for obtaining signage permits from local authorities
  • Compliance with local signage bylaws and regulations
  • Building owner/management approvals
  • Landlord permissions for tenanted properties

10. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including:

  • Natural disasters (earthquakes, floods, landslides)
  • Epidemics, pandemics, or health emergencies
  • War, terrorism, civil unrest, or strikes
  • Government actions, laws, or regulations
  • Power outages or telecommunications failures
  • Supply chain disruptions or material shortages

Affected party must notify the other party promptly and use reasonable efforts to mitigate the impact.

11. Website Use

11.1 Acceptable Use

You agree not to:

  • Use our website for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with website functionality or security
  • Scrape, copy, or reproduce website content without permission
  • Submit false or misleading information
  • Impersonate others or misrepresent affiliations

11.2 Website Availability

  • We do not guarantee uninterrupted website access
  • Maintenance and updates may cause temporary disruptions
  • We reserve the right to modify or discontinue features

11.3 External Links

Our website may contain links to third-party websites. We are not responsible for content, accuracy, or practices of external sites.

12. Confidentiality

  • Both parties agree to keep confidential information private
  • Business information, pricing, and client data are confidential
  • Confidentiality survives termination of business relationship
  • Disclosure permitted if required by law

13. Dispute Resolution

13.1 Negotiation

Parties agree to first attempt to resolve disputes through good faith negotiations.

13.2 Mediation

If negotiation fails, parties may agree to mediation before pursuing other remedies.

13.3 Jurisdiction

  • These Terms governed by laws of Nepal
  • Disputes subject to exclusive jurisdiction of courts in Kathmandu, Nepal
  • Language of proceedings shall be English or Nepali

14. Termination

14.1 Termination by Client

  • Client may cancel orders subject to cancellation fees
  • Account closure requests processed within 30 days

14.2 Termination by Company

We may terminate or suspend services if:

  • Payment obligations not met
  • Breach of these Terms
  • Fraudulent or illegal activity suspected
  • At our sole discretion with reasonable notice

14.3 Effect of Termination

  • Outstanding payments become immediately due
  • Access to services and accounts may be revoked
  • Provisions that should survive termination will remain in effect

15. General Provisions

15.1 Entire Agreement

These Terms, along with our Privacy Policy, Payment Policy, and Shipping Policy, constitute the entire agreement between parties.

15.2 Severability

If any provision is found invalid, remaining provisions continue in full force.

15.3 No Waiver

Failure to enforce any provision does not constitute waiver of that right.

15.4 Assignment

Client may not assign rights under these Terms without our written consent. We may assign our rights to affiliates or in connection with business transfer.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance. Material changes will be communicated via email or website notice.
